These Terms and Conditions apply exclusively to business clients (B2B). By accepting a quotation or engaging DELATOUR, the client agrees to these Terms and Conditions.

2. Definitions

In these Terms:

Client: The business entity purchasing services from DELATOUR.

Services: All production, creative, marketing, advertising, media buying, photography, video, drone, and related services provided by DELATOUR.

Deliverables: Final agreed outputs provided to the Client.

Project Materials: Raw footage, source files, project files, working files, drafts, concepts, designs, and production assets.

3. Agreement Formation

A contract is formed when:

  • The Client accepts a quotation or proposal;
  • The Client confirms an assignment in writing;
  • DELATOUR begins performing the Services.

Quotations are valid for the period stated in the quotation. If no validity period is specified, quotations remain valid for 30 days.

Any changes to the agreement must be confirmed in writing.

4. Scope of Work

DELATOUR will provide the Services described in the agreed quotation, proposal, or project agreement.

Requests outside the agreed scope, including additional edits, extra filming days, additional deliverables, or new requirements, may result in additional charges.

DELATOUR reserves the right to update pricing where the scope of work materially changes.

5. Subcontractors and Partners

DELATOUR may engage freelancers, contractors, production partners, editors, photographers, videographers, drone operators, or other suppliers where necessary to perform the Services.

DELATOUR remains responsible for managing the overall project delivery.

6. Fees and Payment

Unless otherwise agreed:

  • Invoices are payable immediately upon receipt.
  • Where a payment term of 14 days has been agreed, the invoice must be paid within that period.

For larger projects, DELATOUR may require an advance payment of at least 50% before starting work.

DELATOUR may postpone or suspend Services if invoices remain unpaid.

The Client remains responsible for payment regardless of internal approval processes or third-party payment arrangements.

7. Late Payments

If payment is not received on time, DELATOUR may charge:

  • Statutory commercial interest;
  • Reasonable collection costs;
  • Administrative costs associated with overdue payments.

8. Revisions and Approvals

Unless otherwise agreed, one round of revisions is included.

Additional revisions, changes, or modifications requested by the Client may be charged separately.

The Client is responsible for providing timely feedback and approvals.

Delays caused by the Client may result in adjusted deadlines and additional costs.

9. Client Responsibilities

The Client is responsible for providing accurate information, materials, approvals, permissions, and access required to complete the Services.

Unless agreed otherwise, the Client is responsible for obtaining:

  • Location permissions;
  • Talent releases;
  • Licenses;
  • Third-party permissions;
  • Legal approvals for supplied materials.

The Client indemnifies DELATOUR against claims arising from materials or instructions provided by the Client.

10. Production Delays and Force Majeure

DELATOUR is not liable for delays caused by circumstances outside reasonable control, including:

  • Weather conditions;
  • Equipment failure;
  • Venue issues;
  • Government restrictions;
  • Illness;
  • Supplier failures;
  • Talent availability issues;
  • Technical problems beyond reasonable control.

DELATOUR will make reasonable efforts to resolve delays and continue delivery.

11. Cancellation Policy

If the Client cancels a confirmed production project:

  • Cancellation with less than 14 days’ notice before the scheduled production date results in a cancellation fee of 50% of the agreed project fee.

Any third-party costs already incurred by DELATOUR remain payable.

12. Intellectual Property

All intellectual property rights in Deliverables transfer to the Client only after full payment of all outstanding invoices.

Until full payment is received, all rights remain with DELATOUR.

DELATOUR retains ownership of:

  • Project files;
  • Editing timelines;
  • Internal workflows;

  • Marketing materials;
  • Presentations;
  • Industry awards.

Confidential projects may be excluded where agreed with the Client.

14. Media Buying and Advertising Services

Where DELATOUR provides media buying, advertising, or marketing services:

Nothing in these Terms limits liability where such limitation is prohibited by applicable law.

17. Data Protection

Both parties shall comply with applicable data protection laws, including the GDPR.

Where DELATOUR processes personal data on behalf of a Client as a processor, the parties may enter into a separate Data Processing Agreement.

18. Complaints

Any complaints regarding Services must be submitted in writing within a reasonable period after delivery.

The Client must provide DELATOUR with an opportunity to address the complaint.
